LiveAutoParts β€” Used Auto Parts

1. Introduction & Binding Acceptance

Welcome to LiveAutoParts ("LiveAutoParts", "we", "us", "our"). These Terms of Use ("Terms") govern your access to and use of our website, systems, services, tools, forms, APIs, and all communications (collectively, the "Platform").

BY SUBMITTING A PARTS REQUEST, CLICKING "SUBMIT", "GET QUOTES", OR ANY EQUIVALENT CALL-TO-ACTION ON THE PLATFORM, YOU CONFIRM THAT:

If you do not agree with any part of these Terms, you must immediately discontinue all use of the Platform. Continued use constitutes acceptance of these Terms.

2. About LiveAutoParts β€” Seller & Merchant of Record

LiveAutoParts is a trade name of Priona Global INC ("LiveAutoParts", "we", "us"). We sell used and aftermarket automotive parts sourced from a vetted network of recyclers, salvage yards, and suppliers across the USA and Canada.

Priona Global INC is registered at 3000 Marcus Avenue, Ste 1E11, New Hyde Park, NY 11042, USA. We accept orders from customers in the United States and Canada only.

LiveAutoParts is the seller and merchant of record for your order. We issue your quotation, collect your payment, arrange fulfilment through our supplier network, and are your point of contact for cancellations, returns, warranty, and refunds under these Terms.

We source parts through independent third-party suppliers, recyclers, and salvage yards. Those suppliers act as our fulfilment partners; your contract of sale is with LiveAutoParts.

3. Supplier Relationships & Fulfilment

LiveAutoParts is the seller and merchant of record for your order. To fulfil your order, we source parts through a network of independent third-party suppliers, recyclers, and salvage yards. The relationship between LiveAutoParts and any supplier is that of independent contractors. Nothing in these Terms creates or implies:

Suppliers act as our fulfilment partners and are responsible to LiveAutoParts for the parts they supply. Your contract of sale, and your point of contact for the order, is LiveAutoParts.

4. Quotes β€” Not Offers, Not Guarantees

Any price, availability indication, or delivery estimate communicated through the Platform β€” whether by email, phone, SMS, or the Platform interface β€” is a quotation, not a confirmed offer or contract, until your order is confirmed and payment has cleared.

Submitting a parts request through LiveAutoParts does not guarantee that a matching part exists, that any supplier will respond, or that any quote will meet your requirements.

5. Payments

LiveAutoParts is the merchant of record and collects your payment through PCI-compliant third-party payment processors. We do not store full card numbers on our servers.

By submitting payment you authorise LiveAutoParts to charge the selected payment method for the exact amount shown on your quotation. Your payment confirms your acceptance of these Terms and constitutes your electronic signature. The sale is confirmed only upon receipt of cleared payment.

6. Chargeback & Dispute Policy β€” Important Notice

Please read this section carefully before initiating any chargeback or payment dispute.

As the merchant of record, LiveAutoParts stands behind your order and resolves issues directly. If you believe you have grounds for a payment dispute, you must contact us first so we can make it right. Filing a chargeback before contacting us deprives us of the opportunity to resolve your concern under the cancellation, return, warranty, and refund terms below.

We therefore ask that, before you contact your bank:

Nothing in these Terms limits, waives or replaces any right you have to dispute a charge with your bank or card issuer. Those rights come from your card issuer's rules and from law, and we do not ask you to give them up. We ask only for the opportunity to put the problem right first, which is almost always faster than a chargeback.

Where a dispute is filed that we believe is unfounded — for example a claim of non-delivery against a signed, tracked delivery — we will contest it with the card network and may decline to accept further orders from that account.

LiveAutoParts retains a full evidence trail for every order β€” including your order and quotation records, request data, delivery and tracking records, and communication history β€” and reserves the right to provide these records and these Terms to any card network, financial institution, or dispute resolution body as evidence in any chargeback investigation.

Disputing a charge for a part received in the condition described, without first completing the contact step above, may constitute chargeback fraud, which is a civil and potentially criminal matter. LiveAutoParts will contest unwarranted disputes with financial institutions using its retained evidence.

7. VIN, Fitment & Vehicle Compatibility β€” Buyer Responsibility

VIN decoding, Year/Make/Model selection tools, and any vehicle compatibility information displayed on the Platform are provided for convenience and initial guidance only. They do not constitute a guarantee of fitment or compatibility.

Final fitment verification is your responsibility. You must independently verify that any part is correct for your specific vehicle before authorising payment. LiveAutoParts does not guarantee fitment based solely on VIN or compatibility data provided through the Platform.

A part that does not fit because of incorrect vehicle information or part selection provided by you is treated as a buyer-error return and may be subject to a restocking fee and return shipping. Please contact LiveAutoParts with any fitment concern so we can help resolve it before you consider a chargeback.

8. Used, Salvage & Reconditioned Parts

The majority of parts sold through the Platform are used, salvaged, refurbished, reconditioned, or pulled from end-of-life vehicles unless your quotation explicitly states otherwise in writing.

By using the Platform, you acknowledge and accept that used parts:

The inherent characteristics of used and salvage parts β€” including cosmetic condition, wear, and appearance variation β€” do not constitute grounds for return, refund, or chargeback unless a specific written representation on your quotation was materially false.

9. Warranty, Cancellations, Returns & Refunds

As the seller and merchant of record, LiveAutoParts provides the following policies for your order. The specific terms printed on your quotation control where they differ.

To start a cancellation, return, warranty claim, or refund, contact LiveAutoParts using the details in Section 24. Engines, transmissions, and drivetrain assemblies may carry mileage-based limited terms noted on your quotation.

This section is a summary. The full process — how to start a return, what an RMA is, who pays return shipping, what is deducted from a refund and how long each step takes — is set out in our Returns & Refunds Policy. Where that policy and this section differ on returns or refunds, that policy controls.

10. Shipping, Freight & Delivery

LiveAutoParts arranges shipping, freight forwarding, and delivery for your order through our carrier and freight partners. Orders are typically processed within 48–72 business hours after payment confirmation (excluding weekends and holidays). Risk of loss transfers to you upon carrier pickup from our facility or supplier; LiveAutoParts is not responsible for loss, damage, or delay that occurs after carrier pickup, though we will assist you with carrier claims as described below.

Shipping delays or carrier damage are handled under this Section and the warranty and refund terms in Section 9. Please contact LiveAutoParts so we can resolve any shipping issue before you consider a chargeback.

11. Dispute Resolution β€” Required Process

Before pursuing any legal remedy, chargeback, or formal complaint, you agree to follow this mandatory dispute resolution process:

Failure to follow this process before filing a chargeback or legal action is a breach of these Terms and will be raised as evidence in any resulting dispute proceedings.

You agree that any claims against LiveAutoParts shall be brought on an individual basis only and you waive any right to participate in class action proceedings relating to the Platform or any transaction facilitated through it.

12. User Conduct & Prohibited Use

You agree not to use the Platform to:

Violations may result in immediate suspension of access, civil claims for damages, and/or referral to law enforcement authorities.

13. Accuracy of Information Provided by You

You represent and warrant that all information you submit through the Platform β€” including vehicle details, VIN, contact information, and stated requirements β€” is accurate, complete, and not misleading.

Incorrect information submitted by you that results in an incorrect part being quoted, ordered, or shipped is entirely your responsibility. LiveAutoParts and any affected supplier reserve the right to recover costs, including restocking fees and return shipping, caused by inaccurate information submitted by the buyer.

You further acknowledge that suppliers rely on the information you provide when identifying and pricing parts. Any dispute arising from incorrect buyer-provided information shall not be directed at LiveAutoParts.

14. Communications & Record Keeping

All communications made through the Platform β€” including submitted forms, emails, chat messages, SMS, and phone call records β€” are logged and retained by LiveAutoParts for the purposes of:

By using the Platform, you consent to this recording and acknowledge that such records may be disclosed to financial institutions, card networks, suppliers, or legal authorities in the event of a dispute, chargeback, or legal proceeding.

These records constitute binding evidence of the terms under which you engaged with the Platform and any supplier.

15. Intellectual Property

All website content, software, branding, logos, designs, text, data, systems, and processes are the exclusive intellectual property of LiveAutoParts or its licensors.

Unauthorised use, reproduction, distribution, scraping, reverse engineering, or commercial exploitation of any Platform content or system is strictly prohibited and may result in legal action.

16. Limitation of Liability

To the maximum extent permitted by applicable law, LiveAutoParts, its directors, officers, employees, agents, and affiliates shall not be liable for any loss or damage of any kind arising from:

To the maximum extent permitted by applicable law, and except for the warranty and refund remedies set out in Section 9, LiveAutoParts' total aggregate liability to you for any claim shall not exceed the total amount you paid to LiveAutoParts for the part giving rise to the claim.

Limits on these limits. Nothing in these Terms excludes or restricts our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or restricted. Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy you have under consumer protection law that cannot lawfully be excluded, restricted or modified. Where any provision of these Terms conflicts with such a right, that right applies and the remainder of these Terms continues in force.

17. Indemnification

You agree to indemnify, defend, and hold harmless LiveAutoParts, its directors, officers, employees, agents, suppliers, and affiliates from and against any and all claims, demands, damages, liabilities, costs, losses, and legal fees (including reasonable attorneys' fees) arising out of or related to:

This indemnification obligation survives the termination of your access to the Platform and these Terms.

18. No Guarantee of Service Outcome

LiveAutoParts makes no representation or warranty that:

Use of the Platform is entirely at your own risk. LiveAutoParts provides it on an "as-is" and "as-available" basis without any warranties of any kind.

19. Force Majeure

LiveAutoParts shall not be liable for any delay, failure, or interruption in service caused by events beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions or restrictions, strikes, supply chain disruptions, internet or telecommunications outages, cyberattacks, or third-party platform failures.

20. Termination & Suspension

We reserve the right to suspend, restrict, or permanently terminate your access to the Platform at our sole discretion and without prior notice for:

Termination of access does not affect any obligations, liabilities, or indemnities incurred prior to termination.

21. Changes to These Terms

We may update, modify, or replace these Terms at any time. The most current version will always be published on this page with an updated date. Continued use of the Platform following any update constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Material changes will, where practicable, be communicated via a notice on the Platform homepage or by email if you have provided a contact address.

22. Governing Law & Arbitration

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.

Any dispute not resolved through the direct-contact process in Section 11 shall be resolved by binding individual arbitration administered by the American Arbitration Association, seated in Nassau County, New York. You waive any right to participate in a class action or class-wide arbitration, consistent with the individual-basis requirement in Section 11.

You can opt out of arbitration. If you do not want this arbitration agreement and class-action waiver to apply to you, email legal@liveautoparts.com within 30 days of your first order with the subject line "Arbitration Opt-Out", stating your name and order number. Opting out costs you nothing, will not affect your order, and will not change how we handle your request. If you opt out, disputes are resolved by the courts identified above instead.

Customers in Canada. Nothing in this section removes any right you have under the consumer protection legislation of your province or territory, including any right to bring or take part in a proceeding before a court or a class action where that legislation does not permit it to be waived. Where such legislation applies, it prevails over this section.

23. Severability & Entire Agreement

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

These Terms, together with any specific terms communicated to you at the time of a particular transaction, constitute the entire agreement between you and LiveAutoParts with respect to your use of the Platform and supersede all prior understandings, representations, or agreements.
